The Board of Commissioners held 6 meetings in 2018. Ms. Lina Suti, who currently serves as President Commissioner, has previously performed her duties as Commissioner of the Company. In accordance with the duties and authorities of the Board of Commissioners stipulated in the prevailing Articles of Association, the Board of Commissioners has duties including supervising the management policies, the course of management in general, both regarding the Company and the Company’s business and providing advice to the Board of Directors, holding Board of Commissioners meetings and determining the procedure and amount of remuneration. The Board of Commissioners carries out its duties and responsibilities independently and is not involved in decision-making related to operational activities except for other matters stipulated in the Articles of Association and applicable laws and regulations. Going forward, the Board of Commissioners plans to meet at least 1 (one) time in 2 (two) months in accordance with POJK Number 33/POJK.04/2014 (“POJK 33/2014”).

The duties and responsibilities of the Board of Commissioners are as follows:

• Supervise and provide advice to the Board of Directors on the day-to-day management of the Company.
• Supervise the implementation of the Company’s work plan carried out by the Board of Directors.
• To monitor and evaluate the performance of the Board of Directors during the management of the Company.
• To supervise the implementation of risk management and Good Corporate Governance in every business activity of the Company at every level and hierarchy of the Company’s organization.
• To monitor and supervise the Company’s compliance with all applicable laws and regulations.
• Ensure that the Board of Directors has followed up on any findings and recommendations from the Internal Audit Unit, External Auditor, OJK (if any), and other related parties.
• Requesting explanations from the Board of Directors both orally and in writing in the context of carrying out the duties of the Board of Commissioners.
