Director's Responsibility

Previously, there was no history of Board of Directors meetings. As for the future, the Board of Directors plans to hold a meeting at least 1 (one) time in 1 (one) month in accordance with POJK No. 33/2014.

The duties and responsibilities of the Board of Directors are as follows:

  • Carry out the management function of the Company in accordance with the Company’s business purposes and objectives;
  • Determining the short and long term strategic direction and priorities of the Company.
  • Managing the Company in accordance with the authorities and responsibilities stated in the Company’s Articles of Association and the prevailing laws and regulations.
  • Ensure that all policies, provisions, systems and procedures, as well as the Company’s business activities are in accordance with the prevailing laws and regulations and ensure the Company’s compliance with all commitments made by the Company to OJK and/or other related parties.
  • Implement the principles of Good Corporate Governance in every business activity of the Company at every level and hierarchy of the Company’s organization.
  • Carry out the Company’s social responsibility program to the community in need.
  • Follow up all audit findings and recommendations from the Internal Audit Unit, External Auditor, OJK (if any), and other related parties to be reported to the Board of Commissioners.
  • Maintaining healthy and open relationships with other members of the Board of Directors.
  • Supporting the role of the Board of Commissioners as the Company’s supervisory organ by providing accurate and timely information and providing all facilities required by the Board of Commissioners in carrying out its supervisory duties.
  • Organizing the General Meeting of Shareholders (GMS).
  • Accountable for the implementation of its duties to the shareholders through the GMS.
  • Taking into account the interests of all stakeholders of the Company in accordance with the prevailing laws and regulations.
